End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and TinySpoon ("Company," "we," "us," or "our") governing your access to and use of the TinySpoon application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Service.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to resell, sublicense, or otherwise distribute the Service.

2. Restrictions

You agree that you will not, and will not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • Rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the Service;
  • Remove, alter, or obscure any proprietary notices contained in the Service;
  • Use the Service in any manner that violates applicable laws or regulations;
  • Use the Service to store or transmit malicious code or to interfere with the integrity or performance of the Service.

3. Ownership

The Service, including all intellectual property rights therein, is and shall remain the exclusive property of the Company and its licensors. This Agreement does not grant you any rights to trademarks, service marks, or logos of the Company. All rights not expressly granted to you are reserved.

4. Third-Party Services

The Service may integrate with or rely upon third-party services, including but not limited to accounting and payment platforms such as Intuit QuickBooks Online and HubSpot. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices, content, or availability of any third-party service.

5. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • All activities that occur under your account;
  • Ensuring that your use of the Service complies with all applicable laws and regulations;
  • The accuracy and legality of any data you submit to the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Service.

9. Termination

This Agreement is effective until terminated. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, you must cease all use of the Service. Sections relating to ownership, disclaimers, limitation of liability, and governing law shall survive termination.

10. Changes to This Agreement

We reserve the right to modify this Agreement at any time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the revised Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is established, without regard to its conflict of law provisions.
